Galderma Sells Alchemee (Formerly Proactive) to Taro

Galderma and Taro Pharmaceutical Industries have entered a definitive agreement for Taro to acquire Alchemee, formerly The Proactiv Company, from Galderma.

WHO: The Proactiv Company, makers of the #1 selling acne regimen, announced its rebranding and repositioning under the new name Alchemee after more than 25 years last December.

Galderma is the world's largest independent dermatology company, present in approximately 100 countries. Since its inception in 1981, the business has been driven by a complete dedication to dermatology, delivering an innovative, science-based portfolio of sophisticated brands and services across Aesthetics, Consumer Care, and Prescription Medicine.

Taro Pharmaceutical Industries is a multinational, science-based pharmaceutical company dedicated to meeting the needs of its customers through the discovery, development, manufacturing, and marketing of the highest-quality healthcare products.

WHY: Taro's acquisition of Alchemee adds Proactiv, a leading consumer acne brand to Taro's broad portfolio of prescription and OTC dermatology products.

DETAILS:

  • Taro Pharmaceutical Industries will acquire Alchemee, formerly The Proactiv Company, from Galderma.
  • The agreement between Galderma and Taro includes Alchemee's business and assets around the world, including the Proactiv brand.
  • Sales for the acquired business have declined at a CAGR of 20% over FY19-21 from $258 million to $166 million, but the acquisition at 0.5x price/sales offers a reasonable valuation for entry into OTC cosmetic products in US, Japan, and Canada.
  • In December 2021, Galderma signed a definitive agreement to acquire Alastin Skincare.
  • It has been reported that Galderma has begun talks with international investors for a possible $22 billion IPO in the first half of 2022.
